Retail Finance

Regulatory compliance is central to a retail finance business's commercial activity and strategy. Our specialist team has the experience, sector knowledge and legal skills to advise on solutions that reflect the commercial needs within the relevant regulatory frameworks such as consumer credit, payment services and e-money regulations. Regulatory and commercial considerations are rarely distinct in this sector, and we have a team that can provide regulatory advice along with, or as part of, our transactional and drafting support for retail finance institutions and service providers.

We provide legal support to retail finance and payments businesses: on commercial transactions, the development of innovative products, legal risk management and compliance, structuring portfolios of regulated assets, and changes to business models. We advise on regulated consumer finance, including lending activity and marketing to consumers, payment services and e-money services.

Citibank

  • advising on its terms and conditions in respect of payment services under Dutch law.

UK bank

  • advising a major UK bank on Payment Services Directive (PSD), UK Payment Services Regulations 2009 (PSRs) and compliance with rulebook for the EU Single Euro Payments Area Initiative (SEPA)
  • advising on entry into and subsequent exit from the Italian credit card and retail financial services market.

UK card issuer

  • advising on regulatory compliance including in respect of the PSRs, consumer credit and unfair contract terms legislation and e-money rules
  • advising a major UK card issuer on white label credit card arrangements.

International bank

  • advising on the establishment of its business in Germany and issues relating to the Payment Services Directive and SEPA
  • advising on the implementation of PSD in Belgium.

NBC Universal

  • advising the media and entertainment company under Dutch law on an outsourcing agreement with a Romanian provider of credit management activities.

RePay

  • adivising the carbon offset scheme provider on its negotiations with a US financial institution for the launch of a carbon offset credit card
  • advising on the issues arising from a joint venture and cooperation agreements with partners for the purpose of the sale and distribution of carbon offset credit cards.

Vocalink

  • advising the UK payment solutions, transaction switching and settlement service provider and operator of the LINK cash machine network, on regulatory issues relating to the work of the OFT Payment Systems Task Force and SEPA.
