Licensing & Commercial Agreements

We have a deep understanding of licensing issues affecting stakeholders in a wide range of industries. Many of our team have technical backgrounds and industry experience.

Our clients trust us to handle their most important and complex technology transfer, international licensing and collaboration arrangements. We advise on, prepare and negotiate agreements for universities, spin-outs, venture capital funds, small and medium sized businesses, major biotechnology and pharmaceutical companies, as well as governments, across a broad range of products and technologies, including chemical entities, biologics, formulations and platform technologies.

We work closely with our clients and patent attorneys to assist with the evaluation of licensing deals through focussed due diligence. Our licensing experts have a firm grasp of competition, regulatory, commercial law and insolvency law issues which arise in licensing deals, drawing on more specialist resources of the firm when required. As well as assisting clients to do deals, we are to an increasing extent advising them on their exit rights, their rights where insolvency of a party is possible and competition law issues.

We also advise on, prepare and negotiate agreements which lead up to licensing deals (including non-disclosure agreements, material transfer and evaluation agreements, letters of intent and standstill agreements) as well as agreements which support licensing deals (such as pre-clinical and clinical study agreements, clinical and commercial supply, distribution, pharmacovigilance and promotion agreements).

This broad and deep experience underpins our market leading international licensing practice.
